1. Introduction

These Terms of Service (“Terms”) govern your access to and use of the websites, applications and services provided by Nadelity B.V. (“Nadelity”, “we”, “our”, “us”). By using our services, you agree to these Terms.

2. Use of our services

You agree to use our services only for lawful purposes and in accordance with these Terms. You are responsible for the activity that occurs under your account and for keeping your login credentials secure.

3. Customer accounts & data

Where our SaaS products provide accounts (for example, event ticketing, school management, agri supply or gas station rewards platforms), you remain the owner of your data. Nadelity acts as a processor or service provider, operating the platform on your behalf under separate product or service agreements.

4. Availability & changes

We aim to provide reliable, well-supported services and may perform maintenance, updates or improvements from time to time. We may modify or discontinue features where necessary, and will aim to notify customers of material changes through appropriate channels.

5. Intellectual property

The Nadelity name, logo, and all software, designs and content we provide are protected by intellectual property rights and remain the property of Nadelity B.V. or our licensors. You receive a limited right to use the services as described in the applicable product or service agreement.

6. Acceptable use

You may not misuse our services, including attempting to gain unauthorised access, interfering with performance, or using the services to store or transmit unlawful, harmful or infringing content.

7. Liability

To the extent permitted by law, Nadelity will not be liable for any indirect, incidental or consequential damages arising from your use of our services. Any specific service-level or liability terms for paid SaaS products will be set out in separate agreements with you.

8. Third-party services

Our products may integrate with third-party services (for example, payment processors, analytics, or cloud providers). Your use of those services may be subject to separate terms provided by those third parties.

9. Changes to these Terms

We may update these Terms from time to time. The most current version will always be available on this page. If changes are material, we may notify registered customers through email or in-product notifications.

10. Governing law

These Terms are governed by the laws of the Netherlands. Any disputes will be submitted to the competent courts in the Netherlands, unless otherwise required by mandatory law.
